These Terms and Conditions (“Terms”) govern access to and use of this website and all transactions conducted with American Gold Group Services, LLC (“American Gold Group,” the “Company,” “we,” or “us”). By accessing this website, checking a box or clicking a button indicating agreement, submitting information, or engaging in any transaction with the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility
You represent and warrant that you are at least eighteen (18) years of age, possess the legal authority to enter into binding agreements, and that your use of this website and services complies with applicable laws. If you do not agree to these Terms, you may not use this website or services.
2. Nature of Services
The Company is an independent retail dealer of physical precious metals. The Company sells and purchases precious metals, provides product information, and facilitates transactions at the direction of clients. The Company is not an investment advisor, financial planner, fiduciary, broker-dealer, tax professional, or IRA custodian. All decisions to purchase, sell, transfer, or liquidate precious metals are made solely by the client.
3. Client-Directed Transactions
All transactions are executed solely upon client authorization. The client acknowledges that no fiduciary relationship exists between the parties, the Company exercises no discretionary authority over assets, and purchasing or selling precious metals involves independent judgment by the client.
4. Orders and Transaction Confirmation
Orders may be placed by telephone, electronic communication, or written authorization. A transaction becomes binding only after price confirmation, order acceptance by the Company, and issuance of a transaction confirmation or invoice, and, where required, receipt of a signed Customer Agreement. The Company reserves the right to refuse or cancel any order prior to acceptance.
5. Pricing and Market Risk
Precious metals prices fluctuate continuously based on global market conditions. Prices may change rapidly, quoted pricing is not guaranteed until confirmed, and market volatility may result in gains or losses. Past performance does not guarantee future results. The Company makes no representation that metals will appreciate or protect against loss or inflation.
6. Dealer Spread and Profit
The Company operates as a retail dealer. Purchase prices and resale prices differ, and dealer spreads or market differentials apply (generally 4%–21% for bullion and 17%–33% for numismatic products, as disclosed at the time of the transaction). Metals must appreciate sufficiently to offset these differences before profit may occur.
7. Payment Obligations
Clients agree to provide full payment within the timeframe specified on transaction confirmation documents. Failure to provide timely payment may result in cancellation of the transaction and, where permitted by law and disclosed, market-loss charges or administrative fees. Market-loss charges apply to a client’s failure to remit payment for an accepted order and do not apply to a timely return of undamaged product made under the refund right described in the Customer Agreement and Order Confirmation.
8. Shipping, Delivery, and Risk of Loss
Title and risk of loss transfer to the client upon confirmed delivery to the designated recipient, custodian, or approved storage facility. Delivery timelines may vary due to market conditions, carrier delays, or product availability. The Company is not responsible for delays beyond its reasonable control.
9. IRA Transactions and Third Parties
Self-directed IRA custodians, administrators, and storage facilities are independent third parties. The Company does not administer retirement accounts, does not provide custodial services, and is not responsible for third-party actions or policies. Custodians do not endorse or recommend the Company. Metals held in a Precious Metals IRA must be stored with an IRS-approved depository through the custodian and cannot be stored at home or held in the account owner’s personal possession while held in the IRA.
10. Communications Consent
By submitting information or engaging with the Company, you consent to receive communications via telephone, email, text message, or other methods, including communications related to inquiries or transactions. Consent is not required as a condition of purchase and may be withdrawn at any time. 11. Website Use
You agree not to use the website for unlawful purposes, attempt unauthorized access, interfere with website operation, or reproduce or distribute site content without permission. The Company reserves the right to suspend or terminate access at its discretion.
12. No Guarantees
The Company makes no guarantees regarding market performance, future pricing, liquidity, buyback availability, or transaction outcomes. All precious metals transactions involve risk.
13. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, market losses, third-party actions, delays beyond reasonable control, or decisions made by clients. The Company’s total liability, if any, shall not exceed the amount paid for the specific transaction giving rise to the claim. Nothing in these Terms limits or excludes liability for fraud, willful misconduct, or any liability that cannot be limited or excluded under applicable law, including California Civil Code Section 1668.
14. Dispute Resolution and Arbitration
Disputes are governed by the arbitration and class-action-waiver provisions set forth in the signed Customer Agreement (or, where applicable, a separate signed Arbitration Agreement), which are incorporated here by reference. Where no such signed provision applies, any dispute arising from website use shall be resolved through binding individual arbitration, and both parties waive the right to a jury trial and to participate in a class or representative action, to the extent permitted by law, subject to a customer’s right to opt out as provided in the applicable arbitration provision and to bring qualifying claims in small-claims court.
15. Modifications
The Company reserves the right to modify these Terms at any time; updated Terms become effective upon posting. For material changes, the Company will provide reasonable notice (such as by email or account notice) where it holds your contact information. Changes to the transactional terms of a signed Customer Agreement require the amendment process set forth in that agreement.
16. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
17. Intellectual Property Rights
All content, materials, text, graphics, logos, images, designs, software, and other materials on this website are the property of American Gold Group Services, LLC or its licensors and are protected by applicable intellectual property and copyright laws. No content may be copied, reproduced, modified, distributed, transmitted, displayed, or otherwise used without the Company’s prior written consent.
18. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the documents they incorporate, constitute the entire agreement between the user and American Gold Group Services, LLC regarding use of this website and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral. Where a signed Customer Agreement governs a transaction, that agreement controls as to that transaction.
20. Force Majeure
The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including market disruptions, acts of God, natural disasters, governmental actions, labor disputes, transportation interruptions, supply shortages, communication failures, or other unforeseen events.
21. Electronic Communications and E-Signature Consent
The parties agree that electronic communications, confirmations, authorizations, and records shall have the same legal force and effect as written documents and handwritten signatures. By using this website or engaging in transactions with the Company, users consent to the use of electronic records and electronic signatures where permitted by applicable law.
